Terms of Service

These Terms of Service ("Agreement") govern your access to and use of Snoopr's mobile onboarding platform and related services ("Services") provided by Mentorflow Business and Tech Services LLP ("Snoopr," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by this Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to this Agreement.

1. Service Description

Snoopr provides a no-code platform for creating and deploying mobile app onboarding experiences, including:

  • Visual story editor for designing in-app experiences
  • React Native SDK for integrating stories into mobile applications
  • Analytics dashboard for tracking engagement and user responses
  • Team collaboration and asset management tools

2. Account Registration

To use the Services, you must:

  • Provide accurate, complete registration information
  • Maintain the security and confidentiality of your account credentials
  • Promptly notify us of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account
  • Be at least 18 years of age or have the authority to enter into this Agreement

You may not share account credentials or allow multiple individuals to use the same account, except as permitted under your subscription plan.

3. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with this Agreement. You shall not:

  • Copy, rent, sell, lease, sublicense, distribute, assign, or otherwise transfer rights to the Services
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Services
  • Modify, adapt, or create derivative works based on the Services
  • Access the Services to build a competitive product or service
  • Use the Services to send spam, malware, or process illegal content
  • Circumvent or disable any security features of the Services
  • Use the Services in a manner that overburdens or impairs our systems
  • Collect or process data in violation of applicable privacy laws

4. Customer Data and Privacy

Your Data

You retain all rights to the content, data, and materials you upload to the Services ("Customer Data"). You grant Snoopr a non-exclusive, worldwide, royalty-free license to use, store, and process Customer Data solely to provide and improve the Services.

End User Data

You are responsible for ensuring that your collection and use of end user data through the Services complies with all applicable privacy laws, including obtaining necessary consents. You must maintain an appropriate privacy policy that discloses your use of analytics and tracking technologies.

Our Use of Data

We may use aggregated, anonymized data derived from your use of the Services for analytics, benchmarking, and service improvement purposes. Such data will not identify you or your end users.

5. Intellectual Property

Snoopr Property

Snoopr and its licensors retain all right, title, and interest in the Services, including all software, technology, documentation, and trademarks. Nothing in this Agreement transfers any ownership rights to you.

Customer Content

You retain ownership of all stories, designs, and creative content you create using the Services. You grant Snoopr a limited license to host and display such content solely as necessary to provide the Services.

Feedback

If you provide suggestions, ideas, or feedback about the Services, we may use such feedback without restriction or compensation to you.

6. Payment Terms

Fees and Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are quoted in USD unless otherwise specified.

Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. We will notify you before any price changes take effect.

Taxes

Fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. You are responsible for all applicable taxes, except for taxes based on Snoopr's net income.

Non-Payment

If payment is not received within 14 days of the due date, we may suspend your access to the Services.

7. Term and Termination

Term

This Agreement begins when you first access the Services and continues until terminated.

Termination for Convenience

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

Termination for Cause

Either party may terminate this Agreement if the other party materially breaches this Agreement and fails to cure such breach within 30 days of written notice.

We may immediately suspend or terminate your access if:

  • You fail to pay fees when due
  • You violate the Acceptable Use provisions
  • Your use poses a security risk or may cause harm to other users
  • Required by law or regulatory authority

Effect of Termination

Upon termination:

  • Your right to access the Services immediately ceases
  • You must delete all copies of our SDK from your applications
  • You must pay all outstanding fees immediately
  • We will delete your Customer Data within 30 days, unless legally required to retain it

8. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We are not responsible for any delays, failures, or errors arising from circumstances beyond our reasonable control.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SNOOPR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SNOOPR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Snoopr and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of this Agreement
  • Your violation of any applicable law or third-party rights
  • Your Customer Data or end user data

We will indemnify you against third-party claims alleging that the Services infringe any valid patent, copyright, or trademark, provided that you promptly notify us and allow us to control the defense.

11. General Provisions

Governing Law

This Agreement is governed by the laws of India, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Madhya Pradesh, India.

Entire Agreement

This Agreement, together with our Privacy Policy and Refund Policy, constitutes the entire agreement between you and Snoopr regarding the Services.

Modifications

We may modify this Agreement by posting a revised version on our website. Material changes will be notified at least 30 days in advance. Your continued use of the Services after such changes constitutes acceptance.

Severability

If any provision of this Agreement is found unenforceable, the remaining provisions shall continue in full force and effect.

Assignment

You may not assign this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of assets.

No Waiver

Our failure to enforce any provision of this Agreement shall not constitute a waiver of that provision.
